Transitional Warranty Policy

Preface

ENVE Composites, LLC is a limited liability company duly organized and existing under the laws of the United States of America, with its address at 508 West Stockman Way, Ogden, Utah 84404, United States (“ENVE”). ENVE manufactures, markets, and sells high-performance bicycle components and related products under the ENVE trademarks and associated brand assets (collectively, the “ENVE Brand”);

RE Mobility Technology (Beijing) Co., Ltd. (“RE”) is a limited liability company existing under the laws of China, with its address at No. 1 Wangjing Street, Chaoyang District, Beijing.

Since May 2026, RE has been ENVE’s exclusive agent (retailer and distributor) in Mainland China, the Hong Kong Special Administrative Region of the People’s Republic of China, and the Macao Special Administrative Region of the People’s Republic of China (the “Territory”). To ensure the smooth transition of after-sales responsibilities between the former and new agents, protect the lawful after-sales rights and interests of end consumers and authorized partner stores, establish consistent after-sales assessment standards, and standardize after-sales service procedures, this Comprehensive Transition-Period Warranty Policy has been formulated in accordance with ENVE’s original global warranty terms and the applicable domestic laws and regulations governing the statutory Three Guarantees.

I. General Provisions

1. All officially distributed genuine ENVE products sold between March 1 and July 31, 2026, and still within the original manufacturer’s standard warranty period, shall be uniformly included within the scope of the warranty transition services between the former and new agents. RE shall assume responsibility for all warranty services. The change of agent shall neither alter nor diminish any existing after-sales rights and interests.

2. All warranty assessments, repairs, replacements, and service standards under this Policy shall be implemented in strict accordance with the ENVE China Warranty Terms and the domestic consumer protection regulations governing the statutory Three Guarantees. Existing after-sales protection standards shall not be reduced, and no additional warranty service handling fees shall be charged to consumers or authorized stores.

3. Definition of the transition period: The five-month after-sales handover and transition period shall run from March 1 to July 31, 2026. The expiration of the transition period represents only the completion of the change from the former agent to the new agent and shall neither shorten nor terminate the remaining original manufacturer’s warranty period applicable to the product itself.

II. Scope of Warranty Coverage

(I) Products Eligible for Warranty Service

All categories of genuine ENVE components manufactured by the original manufacturer that were imported through the former agent’s authorized channels, sold by authorized partner stores in China, and supported by complete and valid proof of purchase shall be eligible. These products include frames, wheelsets, carbon-fiber handlebars, stems, seatposts, saddles, hubs, washers, quick-release mechanisms, and associated original manufacturer accessories.

(II) Circumstances Not Eligible for Warranty or After-Sales Service

  • Unauthorized overseas grey-market products, products purchased overseas through personal shopping agents, parallel imports, and products without formal Customs entry registration records;
  • Second-hand products for which the original first-purchase documentation cannot be provided or products held by persons other than the originally registered owners;
  • Damage caused by human impact, crashes or collisions, unauthorized modification, self-disassembly of hubs/freehub bodies, or abusive use;
  • Component damage caused by severe impacts during cycling accidents or installation and removal by non-professionals;
  • Components subject to natural wear during normal cycling, including wear to brake tracks, rubber sealing washers, normal bearing wear, and minor scratches to painted surfaces.

III. Three-Stage Allocation of Responsibilities during the Transition Period

Stage One: Parallel Operation and Buffer Period for Both Agents (for products sold from March to May 2026, namely Months 1–3 of the transition period)

  • End consumers shall first contact the original purchasing channel to submit an after-sales service application;
  • End consumers and all dealer stores shall simultaneously have access to two application channels. They may submit warranty applications directly to RE or submit applications through the original purchasing channel. The availability of either application channel shall not release the original sales channel from its obligation to provide the required after-sales services;
  • For all ENVE products purchased by dealer stores from the former agent, the complete sales and warranty records, defective products awaiting return to the manufacturer, spare after-sales parts, dealer store customer lists, and all other after-sales materials shall be gradually transferred to RE.

Stage Two: Primary Assumption of Responsibilities by the New Agent (for products sold from June to July 2026, namely Months 4–5 of the transition period)

  • For remaining ENVE inventory sold by the former exclusive agent during the term of its contract, all newly arising after-sales defect claims during the transition period shall be handled by RE. The purchaser must provide the serial number and valid proof of purchase in accordance with the Legal Explanatory Statement on Officially Distributed Genuine ENVE Products in China.

Stage Three: Full Takeover and Stabilization Period (for products sold from August 1, 2026, which is after the expiration of the transition period)

  • All after-sales inspections, parts supply, defect assessments, repairs, and replacements within the ENVE China Territory (Mainland China, Hong Kong, and Macao) shall be independently and fully handled by RE;
  • Beginning on August 1, 2026, any ENVE products sold by the former agent shall not be entitled to coverage under the ENVE China Warranty Policy.
  • Special clarification: The expiration of the transition period does not mean that the product warranty has expired. The remaining original manufacturer’s warranty period applicable to the product shall not be affected by the change of agent or the duration of the transition period and shall remain valid. The original sales channel shall continue to fulfill its obligations. Consumers may also contact the ENVE Repair Center (Beijing ENVE Flagship Store) for assistance with paid after-sales warranty services.

IV. Required Documentation for Warranty Applications

For all warranty services relating to products sold through the former agent’s channels, all of the following materials must be submitted in full. If any required materials are missing, RE shall have the right to suspend processing of the warranty application:

  • The original machine-printed purchase receipt, store outbound delivery documentation, or valid transaction records;
  • Compliant import documentation must be provided, including the Customs declaration form;
  • The product’s unique serial number, including the serial number for the frame, wheelset hub, cockpit assembly, or other applicable component;
  • Clear photographs and videos of the defective area, fully showing the location of the damage or defect;
  • The owner’s valid contact information and delivery address.

Supplementary Notice:

For products for which the original proof of purchase cannot be provided, RE shall uniformly calculate the remaining warranty period based on the product’s original ENVE manufacturing date.

V. Warranty Assessment, Implementation, and Freight Rules

(I) Defect Assessment Standards

Product defect inspections shall be jointly completed by RE’s professional technical personnel and engineering and technical personnel from ENVE’s headquarters in the United States. Where a product is determined to have an inherent manufacturing quality defect, repair, component replacement, or complete product replacement services shall be provided in accordance with the original manufacturer’s standards.

(II) Allocation of Round-Trip Logistics and Freight Costs

  • Where the issue is determined to be an inherent quality defect attributable to the original manufacturer, RE shall bear the round-trip logistics and freight costs for the after-sales service;
  • For products damaged by human action or products outside the original manufacturer’s valid warranty period, the owner shall bear the round-trip logistics and freight costs and the relevant import taxes and fees. The owner may purchase original manufacturer components and repair services for a fee.

(III) Warranty Clarification for Consumable Components

Freehub-body ratchets, bearings, rubber sealing rings, and all types of washers are standard consumable components subject to wear during cycling and are not covered by the long-term free warranty. After such components are damaged, original manufacturer replacement parts may be purchased separately for a fee.

VI. Allocation of Rights and Responsibilities during the Transition Period

  • The transition period does not mean that the former exclusive distributor and the original seller may cease fulfilling their applicable warranty responsibilities. The original seller shall remain the party primarily responsible for the warranty. At the same time, to protect consumers’ rights and interests, RE may process in parallel defective products for which handling has not yet been completed.
  • For product defects newly arising during the transition period, consumers may independently choose to submit their after-sales service applications to either the former exclusive distributor or RE.
  • The warranty periods for products sold during the former exclusive distributor’s distribution period shall strictly continue in accordance with ENVE’s original manufacturer standards and shall not be reset or shortened as a result of the change of exclusive distributor.
  • RE shall assume only the obligation to fulfill the official product warranty and shall neither assume nor become involved in any debts, compensation claims, or financial disputes among the former exclusive distributor, offline stores, and end consumers.

VII. Long-Term After-Sales Policy Following the Expiration of the Transition Period

After the six-month after-sales handover and transition period has fully concluded, the following long-term after-sales rules shall apply:

  • For all officially distributed genuine ENVE products within the Territory, regardless of whether the products were sold during the former agent’s term or the new agent’s term, RE shall fully assume responsibility for the remaining original manufacturer’s warranty;
  • ENVE shall continue to establish and improve its nationwide after-sales service network of authorized stores and maintain inventories of after-sales spare parts, including hubs, freehub bodies, and carbon-fiber components, to ensure the availability of replacement parts;

- Professional technical training concerning the installation and removal of ENVE products, defect assessment, and after-sales handling shall be regularly provided to authorized offline bicycle stores throughout China. ```
